Terms of Service
These Terms of Service constitute a legally binding agreement between you (the Client) and National Marketing Cooperative LLC regarding the provision of cooperative marketing strategy, campaign management, content, reporting, and related services.
1. Provision of Services
National Marketing Cooperative LLC agrees to deliver the marketing services described in your signed agreement, statement of work, or formal proposal (for example: strategy, digital campaigns, content, and performance reporting). National Marketing Cooperative LLC retains discretion over the methods, tools, and qualified contractors used to achieve agreed objectives efficiently.
2. Timelines and Client Cooperation
Marketing programs are iterative and may depend on platform approvals, creative assets, and data availability. Any timelines for audits, launches, or deliverables are estimates. Delays caused by late approvals, missing access credentials, or incomplete information from the client may extend schedules without penalty to National Marketing Cooperative LLC.
3. Fees and Media Spend
The client agrees to pay National Marketing Cooperative LLC cooperative service fees according to the billing schedule in the applicable agreement, often as a monthly retainer or milestone invoice. Service fees cover strategy, labor, and management. Advertising media spend paid directly to platforms (e.g., Google Ads, Meta Ads) is separate unless explicitly included in writing and remains the client's responsibility. National Marketing Cooperative LLC does not advance media funds on behalf of clients unless expressly agreed.
4. Term and Termination
Because effective campaigns and SEO benefit from sustained effort, engagements may include an initial commitment period defined in your contract. Thereafter, services may continue month to month. Written notice as specified in your agreement is required to end active work. Upon termination and payment of outstanding invoices, National Marketing Cooperative LLC will cooperate in transferring reasonable access to accounts and materials under the client's control.
5. Limitation of Liability
To the fullest extent permitted by law, National Marketing Cooperative LLC shall not be liable for indirect, consequential, punitive, or special damages arising from our services, including lost profits, business interruption, or loss of data. In any event, the maximum aggregate liability of National Marketing Cooperative LLC for claims related to the services shall not exceed the cooperative service fees paid by the client during the sixty-day period immediately preceding the event giving rise to the claim.
